Effective Date: 14 September 2026
Company: GOL PTE. LTD. (UEN: 202136419N), a company incorporated in Singapore with its registered office at 160 Robinson Road #14-04, Singapore 068914 (“GOL“, “we“, “us“, “our“, or “Company“).
These General Terms and Conditions (“General T&Cs“) govern the use of the online portal, dashboard, shipment-tracking tool, document-submission facility, or other software-as-a-service feature made available by Company at golsolution.com or any related subdomain (the “Platform“). Some Platform features may be subject to additional terms in an order form, quotation, or service agreement (“Specific Terms“); the General T&Cs and any Specific Terms together are the “Agreement“. By completing registration for the Platform, or by using or accessing it, you (“Subscriber“, “you“) represent that you have read this Agreement and agree to be bound by it.
“Services” means the Platform features made available to Subscriber upon Company’s acceptance of Subscriber’s registration, including account login, shipment alerts, document upload/retrieval, and status tracking.
“Data Message” means information generated, sent, received, or stored by electronic or similar means, including EDI, email, or file upload. “Electronic Record” means a record generated in digital form that can be transmitted or stored through the Platform. “Digital Signature” means data in electronic form used to identify a signatory and indicate approval of the content of a Data Message or Electronic Record.
“Third-Party Provider” means any technology vendor, software provider, filing system operator, or other service vendor that Company engages, from time to time and at its discretion, to operate or support all or part of the Platform’s own infrastructure. Company may engage or change Third-Party Providers without notice to Subscriber, provided the Services are not materially reduced.
“Service Provider” means a content or service provider, other than Company, to which online access is made available to Subscriber via the Platform, including customs authorities, regulatory bodies, banks, or certification authorities. A Service Provider is distinct from a Third-Party Provider: Company is not responsible for a Service Provider’s acts, decisions, or data (see Clauses 9 and 10).
To use the Services, you must have full capacity to create binding legal and financial obligations in your jurisdiction, submit a properly completed registration, provide any information Company may require, confirm that the information given is true, accurate, and complete, and pay any applicable fees. Company reserves the sole right not to accept any registration, at its discretion. This Agreement commences on the date Company accepts your registration.
Company may amend these Terms from time to time. An amendment takes effect 30 days after it is posted on this page or on the Platform’s login page. It is Subscriber’s responsibility to check this page periodically for amendments. Continued use of the Platform more than 30 days after an amendment is posted constitutes acceptance of the amended Terms; if Subscriber does not agree, Subscriber may terminate this Agreement by written notice to Company.
Company reserves the right to modify, enhance, withdraw, or suspend the Services, or any part of them, at any time, including where a Third-Party Provider modifies, suspends, or discontinues a system Company relies on to deliver a feature. Company will advise Subscriber in advance of a change that, in Company’s opinion, significantly alters the Services; if Subscriber does not agree to such a change, Subscriber may terminate this Agreement by written notice. Company may change its onboarding requirements or vary the manner in which it provides the Services at any time.
Subscriber shall at all times indemnify and hold harmless Company, and its officers, employees, and agents, from any loss (including reasonable legal costs) arising from: (i) a breach of this Agreement by Subscriber or its employees, agents, or contractors; or (ii) any wilful, unlawful, or negligent act or omission by Subscriber or its employees, agents, or contractors.
Subscriber agrees that Data Messages and Electronic Records exchanged through the Platform, and any Digital Signature given through it, have the same legal effect as a signed paper document, to the extent permitted under Singapore’s Electronic Transactions Act, and waives any challenge to their validity on the grounds that they were made or transmitted electronically. Company is not liable for errors, delays, or failures in transmission caused by Subscriber’s equipment or connectivity, or by a Service Provider’s systems, except to the extent caused by Company’s own negligence. Company is not responsible for disputes between Subscriber and a Service Provider, between Subscriber and another Subscriber, or between Subscriber and any other party relating to a Data Message or Electronic Record.
Subscriber acknowledges that Company’s Information System may be cloud-based and located or managed outside Subscriber’s country of residence, that data may be processed by a Company affiliate or business partner on the same basis, and that Company may monitor and analyse data passing through its systems for its business purposes, provided Company will not disclose any specific Data Message or Electronic Record and will only disclose data that has been aggregated. Data and records relating to the Services will be retained for the period required by applicable law or, absent such a requirement, for the period determined by Company’s archival practices; Company may provide archived data to Subscriber on request, subject to a retrieval fee based on the duration of records requested.
All intellectual property in the Platform, including its software, design, and underlying technology, is owned by Company or its licensors (including Third-Party Providers) and shall not be reproduced, modified, distributed, or reverse-engineered without prior written approval. This Agreement grants Subscriber a limited, non-exclusive, non-transferable, non-sub-licensable licence to access and use the Platform for its intended purpose during the subscription; Subscriber has no other right, title, or interest in the Platform and will not challenge Company’s or its licensors’ ownership of it. Subscriber retains ownership of the data and documents it uploads, subject to the licence granted to Company to process them in order to deliver the Services.
8.1 Unless the Agreement states otherwise, fees for the Services are payable by Subscriber in full in advance of the applicable subscription period before access is activated or renewed, free of any withholding or deduction of any nature (including bank charges, official fees, or taxes).
8.2 Where Company agrees to extend credit terms for a Service (including where Platform fees are billed together with a Fulfilment Service under GOL’s BPO and IOR Services Terms and Conditions), invoices are payable within 30 days of the invoice date, and Company may impose late payment interest of 1% per month on amounts unsuccessfully collected or outstanding from the due date until paid.
8.3 Subscriber shall notify Company of any discrepancy in an invoiced amount within 30 days of the invoice date, failing which the amount shall be deemed correct.
8.4 Company may suspend Platform access for any amount more than 30 days overdue, and if payment is still not received within a further 30 days, may terminate this Agreement and de-register Subscriber.
The Platform and all ancillary services are provided “as is” and “as available”. To the fullest extent permitted by law, Company disclaims all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. Company does not warrant that the Platform will meet Subscriber’s requirements, that transactions will be successfully concluded, or that the Platform will be uninterrupted, timely, secure, or error-free; any document or information transmitted by Subscriber is transmitted at Subscriber’s own risk. Company is not responsible for the availability, content, or security of any Service Provider’s systems or any external site linked from the Platform, and undertakes no liability, in contract, tort, or otherwise, for the acts, neglects, or omissions of any Service Provider or other third party.
10.1 Company shall not be liable to Subscriber for any damages, loss, penalties, costs, or expense arising from: an action brought by a third party; Subscriber’s reliance on data or content provided by a Service Provider via the Platform, or the accuracy of such data; any error or interruption arising from communications or facilities not provided by Company; data input by or to Subscriber; or any occurrence not due to Company’s direct default. In no event shall Company be liable for loss of business, profit, or goodwill, or for any special, indirect, or consequential loss.
10.2 Subscriber agrees not to bring any claim against a Service Provider in respect of loss, damage, cost, or expense arising from reliance on data or content that Service Provider made available via the Platform, and shall indemnify Company against any claim brought by a third party arising out of this Agreement.
10.3 Company shall have no liability to Subscriber for any loss, damage, cost, or expense arising from or in connection with this Agreement unless Subscriber has served written notice on Company within one (1) year of the date the event giving rise to the claim arose.
10.4 Subscriber is responsible for any violation of law (including customs or tax regulations) or breach of this Agreement by Subscriber, and shall indemnify Company against losses, penalties, and third-party claims arising from such violation or breach, including reasonable legal costs.
10.5 Neither Party is responsible for failure to perform its obligations under this Agreement where such failure is due to circumstances outside its reasonable control, including natural disaster, power outage, war, terrorism, cyberattack, computer virus, or government action, or a material adverse change in applicable law that prevents Company from providing the Services or makes continued provision, in Company’s reasonable opinion, unreasonably risky.
10.6 Subject to Clauses 10.1 to 10.5, the aggregate liability of Company to Subscriber under this Agreement, for any cause whatsoever and regardless of the form of action, whether in contract, tort (including negligence), or otherwise, is limited to the lesser of (i) Subscriber’s actual direct damages, or (ii) the total fees paid by Subscriber to Company in the three (3) months immediately preceding the event giving rise to the claim.
Company will handle personal data submitted through the Platform in accordance with our Privacy Policy, incorporated into this Agreement by reference. By dealing with Company, Subscriber consents to the collection, use, and disclosure of personal data in accordance with that Privacy Policy. Where Subscriber deals with a Service Provider through the Platform, Subscriber is deemed to consent to that Service Provider’s own privacy policy or terms, and acknowledges Company is not involved in and is not liable for that Service Provider’s collection, use, or disclosure of personal data. Company may share Subscriber’s data with Third-Party Providers strictly as needed to deliver the Services, subject to confidentiality obligations no less protective than this Clause.
Either Party may terminate this Agreement by ninety (90) days’ prior written notice to the other. On termination, Subscriber and its users shall immediately cease accessing the Platform. Company may terminate this Agreement immediately, without notice, if Subscriber becomes insolvent or bankrupt, breaches or fails to conform to any obligation under this Agreement, or fails to remedy overdue payment as described in Clause 8.4. Clauses 5 (indemnity), 7, 9, 10, 11, 13, and this Clause 12 survive termination of this Agreement.
This Agreement is governed by the laws of Singapore, and the Parties submit to the exclusive jurisdiction of the Singapore courts, without prejudice to Company’s right to seek injunctive relief in any competent jurisdiction.
14.1 Subscriber shall not, in any proceeding, challenge the admissibility or accuracy of a data log or electronic record produced by Company in any form, unless the error is due to Company’s own omission.
14.2 Nothing in this Agreement constitutes a partnership between Company and Subscriber or any Service Provider, nor appoints Company as agent for Subscriber or any Service Provider.
14.3 A waiver of breach or default by Company must be in writing and does not waive any other or subsequent default; delay in enforcing any term is not a waiver of it.
14.4 In case of inconsistency between the General T&Cs, any Specific Terms, and an order form or service agreement, the following order of precedence applies unless expressly stated otherwise: (i) the order form or service agreement; (ii) the Specific Terms; (iii) these General T&Cs.
14.5 If any provision of this Agreement is held invalid, unenforceable, or illegal, the remaining provisions continue in full force.
14.6 Subscriber shall not assign this Agreement without Company’s prior written consent. Company may, on prior notice to Subscriber, assign or transfer this Agreement to another member of the GOL group of companies or to any party Company reasonably believes capable of providing the Services.
14.7 This Agreement, together with any Specific Terms and our Privacy Policy, is the entire agreement between Subscriber and Company regarding the Platform, and supersedes all prior discussions on the same subject. No person who is not a party to this Agreement has any right to enforce its provisions.
14.8 Translated versions of this Agreement, where provided, are for Subscriber’s convenience only. If there is any discrepancy between the English version and a translated version, the English version prevails.
